Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 9, 2019, Chardan Healthcare Acquisition Corp. (the “Company”) received a letter of resignation from Elliot Gnedy pursuant to which Mr. Gnedy resigned as a member of the Board of Directors of the Company because Mr. Gendy could no longer be considered independent under NYSE American’s listing standards. Mr. Gnedy indicated that his resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, polices or practices.
On September 9, 2019, the Company’s Board of Directors appointed Michael Rice, who is currently a member of the Board of Directors, to the Audit Committee of the Board of Directors.
